By accessing or using our Platform, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please refrain from using our Platform.

• "Platform" or "Services" : The website and services provided by Qoxia Limited at www.qoxia.co.uk or by other media.
• "User": Any individual or entity accessing or using the Platform.
• "Investor": A User who registers to invest in projects listed on the Platform or shared by the company with this User.
• "Founder" or "Project Owner": An individual or entity seeking funding for a project through the Platform.
• "Project": A fundraising campaign listed on the Platform or shared with Qoxia Limited by a Project Owner.
• "Participation": The process of joining other investors to provide funds for a Project.
• "Platform" or "Services" : The website and services provided by Qoxia Limited at www.qoxia.co.uk or by other media.
• "Client": A User who has entered into an agreement with Qoxia Limited for any of our Services.
• "Portfolio Manager": Qoxia Limited, acting as the manager of Clients' stock investment portfolios, real estate investments or private equity position.
• "Assets": The funds and securities managed by the Portfolio Manager on behalf of the Client.

• Account Creation: To access certain features, you must create an account by providing accurate and complete information.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Notification: You agree to immediately notify us of any unauthorized use of your account.

• For Investors: The opportunity to invest (as part of a group) in Projects shared by Founders/Project Owners.
• For Investors: The opportunity to invest (as part of a group) in Real Estate Projects provided by Qoxia Limited.
• For Investors: The opportunity to invest (as part of a group) in the Stock Market managed by Qoxia Limited.
• For Founders/Project Owners: The ability to share Projects and seek funding from Investors.

• Discretionary Management:We have the authority to make investment decisions on your behalf without prior consultation, in accordance with your investment objectives and risk tolerance agreed in your service agreement.
• Investment Strategy: We will develop and implement an investment strategy tailored to the group financial goals, focusing on pooling resources to access premium stock portfolios and generate cash flow.
• Reporting: Regular reports on portfolio performance and holdings will be provided to Investors using this Service.

• Compliance:You agree to comply with all applicable laws and regulations when using the Platform / our Services.
• As Investor: You agree to provide accurate and complete information regarding any financial situation, investment objectives, and risk tolerance that may be required in dispensing our Services to you and to promptly inform us of any changes.
• Prohibited Activities: You shall not:
  
  • Engage in fraudulent or deceptive practices.
  • Infringe upon the intellectual property rights of others.
  • Upload or transmit harmful code or content.
  • Interfere with the operation of the Platform.
  • Engage in activities that violate any laws, infringe upon the rights of others, or interfere with the operation of our Services

• No Advice: We do not provide investment advice. All information on the Platform is for informational purposes only.
• Risk Acknowledgment: Investing in Projects involves risks, including the potential loss of capital. You acknowledge and accept these risks. You acknowledge that investing in stocks involves risks, including the potential loss of capital. Past performance is not indicative of future results.
• Due Diligence: Investors are responsible for conducting their own due diligence before making any investment decisions.
• No Guarantees: We do not guarantee any specific results or returns on investments.

• Platform Fees: We may charge fees for certain services. Details of such fees are discussed in the contract on a deal-by-deal basis and are subject to change.
• Risk Acknowledgment:Investing in Projects involves risks, including the potential loss of capital. You acknowledge and accept these risks. You acknowledge that investing in stocks involves risks, including the potential loss of capital. Past performance is not indicative of future results.
• Payment Processing: All Payments are processed through secure third-party payment processors or by direct bank transfer into Qoxia Limited official bank accounts provided in a contract deal.
• Management/Performance/Commission Fees: Our services are subject to management/performance/commission fees as outlined in your agreement with us on a deal-by-deal basis.
• Additional Fees:You may also incur additional costs, such as brokerage fees, custodial fees, and other related expenses. If any, it will be clearly stipulated in your agreement and discussed with you on a deal-by-deal basis.

• Ownership: All content on the Platform, including text, graphics, logos, and software, is the property of Qoxia Limited or its licensors and is protected by intellectual property laws.
• User Content: By submitting content to the Platform, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content in connection with the Platform's operation and for operation of Qoxia Limited’s Services.

• No Waranty: The Platform is provided "as is" without any warranties, express or implied.
• Limitation: To the fullest extent permitted by law, Qoxia Limited shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform or of Qoxia Limited’s services.

• By You:You may terminate your account at any time by contacting us.
• By Us:We reserve the right to suspend or terminate your access to the Platform for any reason, including violation of these Terms.

• Governing Law:These Terms shall be governed by and construed in accordance with the laws of the United Kingdom and Wales.
• Dispute Resolution:Any disputes arising out of or in connection with these Terms shall be resolved through arbitration/mediation in the United Kingdom and Wales.
